FULLBEAUTY Brands VIP Rewards Program

The FullBeauty Brands VIP Rewards Program is brought to you by FullBeauty Brands (hereinafter "FullBeauty Brands" and/or "we" “our” or "us"), and is referred to herein as the "FullBeauty Rewards Program" or the “Program”.  The FullBeauty Rewards Program represents a consolidated rewards program across the entire family of 18 FullBeauty Brands: Woman Within®, Catherines®, Roaman’s®, Jessica London®, Brylane Home®, KingSize®, OneStopPlus®, Ellos®, FullBeauty Outlet®, Active for All®, Shoes For All®, Intimates For All®, Avenue®, Eloquii®, CUUP®, Dia Shop™, June + Vie®, and Swimsuits For All® (collectively, the “FullBeauty Family of Brands”).  The FullBeauty Rewards Program is governed by these Terms & Conditions ("Program Terms").  For Program information in addition to these Program Terms, please contact us at any of the websites or at any of the phone numbers listed in Section 21 hereof.

These Program Terms contain provisions that limit our liability to you (Section 9).  Further, the “Arbitration/Class-Action Waiver/Dispute Resolution” provision (Section 18) eliminates your right to a trial by jury, and requires you to resolve disputes with us on an individual basis and not as a part of any class or representative action and through final and binding arbitration. 

By participating in the Program, you agree to these Program Terms. Void where prohibited by law.

1.  General Information; Definitions; Changes.  The Program is a customer-rewards program that allows eligible customers (refer to Section 2 below for full eligibility details) who sign up for a Program Account ("Members") to earn points ("Points") on the dollars spent on qualifying purchases as des and for other specified activities, as described in Section 3 below.  You may also be eligible to earn additional Points for other specified activities, as described in Section 6 below.  When you have earned a total of 3000 Points, those 3000 Points will be converted into rewards (“Rewards”) valid on purchases across the FullBeauty Family of Brands, at the value as described in Section 5 below.  The converted Rewards will be represented by a “Rewards Certificate” as referenced in Section 5 below.  Points will continue to accumulate in a Member’s Program Account until the 3000 Points threshold is earned again, subject to the expiration date of Points as set forth in Section 3 of these Program Terms.  You may view your Program Account activity at any time by logging into your Program Account online at any of the Program web pages for any of the FullBeauty Family of Brands listed in Section 22 of these Program Terms, or by calling any of the phone numbers for any of the FullBeauty Family of Brands listed in Section 22 of these Program Terms.

2.  Eligibility & Registration.  You must sign up for a Program Account online at any of the Program web pages for any of the FullBeauty Family of Brands listed in Section 22 of these Program Terms, or by calling any of the phone numbers for any of the FullBeauty Family of Brands listed in Section 22 of these Program Terms.  There is no cost to enroll and no purchase is required to enroll in the Program.  The Program is open only to legal residents of the fifty (50) United States or the District of Columbia who have attained the age of majority in their jurisdiction of residence. You must provide us with all required information to register for a Program Account.  Additional information, such as your birth month and day, will be required to receive some of the Program’s benefits. When you enroll in the Program and create a Program Account, you are agreeing to receive email messages related to the FullBeauty Rewards Program only. You may opt-out of such email messages at by clicking the Unsubscribe link on each such email, and Members who have opted-out of receiving marketing emails will still be able to participate in the Program and receive messages about their Program Account (e.g., receiving Rewards, Points balance, usage, and news about changes to these Program Terms).  There is a limit of one (1) Program Account per individual/email address, and you agree not to participate in the Program under more than one (1) Program Account. To update your email address and phone number at any time, you can access your Program Account online at any of the Program web pages for any of the FullBeauty Family of Brands listed in Section 22 of these Program Terms, or by calling any of the phone numbers for any of the FullBeauty Family of Brands listed in Section 22 of these Program Terms. Corporations, groups, and associations are not eligible to register for a Program Account. 

Notwithstanding anything to the contrary in these Program Terms, we reserve the right to approve, deny or revoke membership in the Program to any individual at any time for any reason whatsoever. You agree to accept responsibility for all activities related to your participation in the Program and all activities that occur within your Program Account and/or using your Program Account credentials (e.g., password). You agree not to sell, transfer, share or assign any Program membership rights or credentials. Your Program Account, Points, and Rewards are not your personal property, are not descendible, and may not be inherited, bartered, purchased, or sold. You are responsible for maintaining the confidentiality of your login credentials and, for online users, for restricting access to your computer (or other device, as applicable) so that others may not access your Program Account.

3.  Points.

A Qualifying Purchases.  Points are earned when Members make purchases of merchandise from any of the FullBeauty Family of Brands through either a website purchase or through a phone order (each, a “Qualifying Purchase”).  In order to earn Points for a Qualifying Purchase on any of our websites, you must be signed into your Program Account prior to checkout using the email address you registered for the Program.  In order to earn Points on Qualifying Purchases for phone orders, you must advise our call center representative of the email address associated with your Program Account prior to completing your order.

Exclusions to “Qualifying Purchases”.  Purchases prior to a Member’s enrollment in the Program, purchases without associating your Program Account credentials at the time of the transaction, gifts with purchases, giveaways, coupons, credit card payments.  Purchase of gift cards are not considered Qualifying Purchases eligible for Points, but purchases of merchandise using the redemption of gift cards are considered Qualifying Purchases eligible to earn Points.  Purchase or renewal of any paid FullBeauty Brands loyalty program such as, but not limited to the Catherines Perks Program or the Woman Within Loyalty Program, are not Qualifying Purchases.  Purchases of merchandise with the use of Rewards as earned by a Member under this Program also are not considered Qualifying Purchases eligible for Points.

Value of a “Qualifying Purchase”.  The value of a Qualifying Purchase for purposes of calculating Points is determined based on the purchase price of any goods and/or services made at the time of purchase, after discounts and coupons and before taxes and fees are applied.  The value of a Qualifying Purchase for purposes of calculating Points also excludes processing charges, delivery surcharges, shipping and handling, taxes, or state fees and any other applicable governmental fees.

When Are Qualifying Purchases Eligible for Points.  Qualifying Purchases will be eligible to earn Points approximately thirty (30) days after the merchandise is shipped.  Merchandise from the same transaction that are shipped separately will qualify for Points as each merchandise is shipped.  Points are not earned on unauthorized or fraudulent charges or purchases made by, or for, a business/group or for a business purpose.

B. Calculating Points Earned On Qualifying Purchases.  The number of Points earned on Qualifying Purchases is calculated based on the following factors #1 and #2, with the potential for bonus Points based on the below factor #3:

Tier of Membership*

  • Silver Tier:  You qualify for Silver membership if you have earned between 0 and 3,499 Points using your Program Account during a calendar year, or if you have otherwise accumulated between 0 and 3,499 Points applicable during a calendar year.
  • Gold Tier:  You qualify for Gold membership if you have earned between 3,500 and 8,750 Points using your Program Account during a calendar year, or if you have otherwise accumulated between 3,500 and 8,750 Points applicable during a calendar year.
  • Elite Tier: You qualify for Elite membership if you have earned 8,751 or more Points using your Program Account during a calendar year, or if you have otherwise accumulated 8,751 or more Points applicable during a calendar year.

Payment Type Used at Checkout

  • Catherines Platinum Credit Card, Woman Within Platinum Credit Card, Roaman’s Platinum Credit Card, Jessica London Platinum Credit Card, Kingsize Platinum Card, Brylane Home Platinum Credit Card, and FullBeauty Platinum Credit Card (collectively, a “Platinum Credit Card”).
  • Any other form of payment.

Bonus Brand Points

  • Members shopping online can earn Bonus Brand Points (i) by beginning a shopping session with FullBeauty Brands by visiting the “Bonus Brand Shopping Platform” (as defined below); and (ii) purchasing merchandise at checkout on any of eloquii.com, shop.dia.com, avenue.com, shopcuup.com, juneandvie.com, or swimsuitsforall.com (each, a “Bonus Brand”) from the Bonus Brand Shopping Platform using your Program Account.
  • The “Bonus Brand Shopping Platform” refers to the collection of FullBeauty Brands transaction websites featuring Eloquii, Dia Shop, Cuup, June + Vie, Avenue, and Swimsuits For All in the navigation tabs at the top of a single online shopping platform.

 

* Once you have earned the necessary Points to reach the next Tier of membership, you will begin earning Points at the applicable membership Tier for the remainder of that calendar year and rolling over to the following calendar year.  During the rollover year, the Points you earn during that rollover calendar year will determine your membership status Tier for the year after the rollover year.

Factors #1 and #2 for Calculating Points -- Tier of Program Membership x Value of Qualifying Purchase (adjusted by pay type)

  • Silver Tier: If you qualify for Silver Tier membership at any time during a calendar year, for so long as you are a Silver Tier member, you will be eligible to earn:
  • Gold Tier: If you qualify for Gold Tier membership at any time during a calendar year, beginning from the date you qualify for Gold Tier and for so long as you remain a Gold Tier member, you will be eligible to earn: 
    • 15 Points for every $1.00 US spent on Qualifying Purchases using your Program Account and using any pay type other than a Platinum Credit Card for the transaction
    • 20 Points for every $1.00 US spent on Qualifying Purchases using your Program Account and using your Platinum Credit Card as pay type for the transaction
  • Elite Tier: If you qualify for Elite Tier membership at any time during a calendar year, beginning from the date you qualify for Elite Tier and for so long as you remain an Elite Tier member,  you will be eligible to earn: 
    • 20 Points for every $1.00 US spent on Qualifying Purchases using your Program Account and using any pay type other than a Platinum Credit Card for the transaction
    • 25 Points for every $1.00 US spent on Qualifying Purchases using your Program Account and using your Platinum Credit Card as pay type for the transaction

Factor #3 for Calculating Bonus Brand Points

  • In addition to Points earned on Qualifying Purchases based on membership Tier and pay type, you shall be eligible for a 5-Point bonus per $1.00 US spent on Qualifying Purchases made online using your Program Account at any of the Bonus Brands, provided that you began your FullBeauty Brands shopping session at the Bonus Brand Shopping Platform and completed your purchase at checkout from the Bonus Brand on the Bonus Brand Shopping Platform.

Illustration.  As an illustration of the calculation of Points based on Qualifying Purchases, a Gold Tier Member at the time of the transaction and using a Platinum Credit Card as pay type would earn 20 Points per $1.00 US spent on Qualifying Purchases.  Further, if the Member commenced their FullBeauty Brands shopping session experience on the Bonus Brand Shopping Platform and in the same session subsequently checked out of the Qualifying Purchase online at a Bonus Brand on the Bonus Brand Shopping Platform, the Member would earn an additional 5 Points per $1.00 US spent, for a total of 25 Points for each $1.00 US spent on the Qualifying Purchase.

Rounding PointsPoints will be rounded down to the nearest whole Point (ex: a Qualifying Purchase of $5.61 made as a Silver Tier Member without use of a Platinum Credit Card or Bonus Brand Points will be 56.1 Points, which would be rounded down to 56 points). 

C. Adjustments to Points

Merchandise Returns.  If you return a merchandise purchase for which you earned Points in accordance with the FullBeauty Brands current return policy, the Points associated with your Program Account may be reduced by the number of Points you received under this Program on original purchase of the. In the event of an even exchange, any Points earned in connection with the original purchase will not be revised. In the event of an exchange of an item of lesser value, we may deduct from your Program Account the difference between the Points earned for your original purchase and the Points calculated for your replacement purchase at the same rate of calculation as applied at the time of your original purchase. Such deductions may result in a negative Points balance, in which case, any Points you subsequently earn will be applied first to reduce that deficit balance. In the event of an exchange for an item of greater value, any additional expenditure will accrue Points in accordance with these terms. Any new promotional offers in effect at the time of an exchange, will not apply, nor modify your Program Account balance.  FullBeauty reserves the right to verify and adjust Points as applicable, at any time.

Point Expiration and Forfeiture.   Points will expire 12 months after the date that they are earned, unless the Points are converted into Rewards as more particularly described in Section 6 of these Program Terms prior to expiration. Once Points expire, they will not be eligible to be converted to Rewards. Except as otherwise provided by applicable law, you will also forfeit your unused and unexpired Points if you violate or attempt to violate the prohibitions on the transfer of Points, if you file for bankruptcy, or if you breach these Program Terms. You will not be entitled to and will not receive any compensation from us for your Points that expire or are forfeited.

D. No Cash Value.  Points earned have no monetary or cash value outside of the Program and and cannot be purchased, sold, bartered or redeemed for cash, unless required by applicable law.  Points may not be used for payment on any of the Platinum Credit Cards.

4.  Platinum Credit Card.

These Program Terms govern membership in the Program, while the cardholder agreements for the following “Platinum Credit Cards” (Catherines Platinum Credit Card, Woman Within Platinum Credit Card, Roaman’s Platinum Credit Card, Jessica London Platinum Credit Card, Kingsize Platinum Card, Brylane Home Platinum Credit Card, or FullBeauty Platinum Credit Card) govern cardholders’ use of those respective account(s).

The Program is separate and apart from any Platinum Credit Card rewards benefit issued by Comenity Bank (the “Bank”) to its cardholders.  However, under the FullBeauty Rewards Program Platinum Credit Card cardholders will receive additional Points by joining the Program and making Qualifying Purchases and using a Platinum Credit Card.  Points and Reward Certificates issued by the Bank under the Bank’s reward programs are available in your credit card billing statements.  Points, Rewards and Reward Certificates issued by FullBeauty Brands through this Program will be available through your Program Account, and you may view your Program Account activity at any time by logging into any of the Program web pages for any of the FullBeauty Family of Brands listed in Section 22 of these Program Terms, or by calling any of the phone numbers for any of the FullBeauty Family of Brands listed in Section 22 of these Program Terms.  Points earned through each subsequent issuer cannot be combined.

Neither Comenity Bank nor its affiliates (collectively “Bank”) are a party to the Program or these Program Terms. For holders of a “Platinum Credit Card” (collectively the Woman Within Platinum Credit Card, Roaman’s Platinum Credit Card, Catherines Platinum Credit Card, Jessica London Platinum Credit Card, Kingsize Platinum Credit Card, Brylane Home Platinum Credit Card, or FullBeauty Platinum Credit Card) who participate in this Program, your credit card account agreement with the Bank is not affected by these Program Terms, and the requirement to arbitrate claims and class action waiver pursuant to these Program Terms are not applicable to your relationship or customer agreement with the Bank.  Your customer agreement with the Bank is separate and independent from these Program Terms, and termination or modification of one will not affect the other. In the event of any conflict between these Program Terms and your credit card account agreement with the Bank, these Program Terms will control in any matter relating to the Program.

5.  Rewards.

A. Conversion of Points To Rewards.  Points must vest for thirty (30) days in a Member’s Program Account before they can become eligible for conversion to Rewards.  Upon accumulation of 3000 vested and unexpired Points in your Program Account at any one time, Your Points will be automatically converted to Rewards representing a value of $10 per 3000 Points.  The Rewards can be redeemed towards Authorized Purchases of merchandise from any of the FullBeauty Family of Brands (see 6.C. below).  Points will be converted on a "first in, first out" basis, such that the first Points earned will be the first Points converted to Rewards.  Once converted the Points will be removed from your Points balance.  Points you earn may not be combined with Points earned by anyone else for purposes of receiving Rewards, or any other purposes.  If Points earned are determined to be unauthorized or fraudulent, you will not earn a Reward for those Points.

B. Rewards Certificates.  Rewards will be available to Members via a “Rewards Certificate.”  Rewards Certificates will be issued within 24 hours after the Member’s Points are Converted to Rewards, and Rewards Certificates shall be available for redemption by the Member immediately after issuance.  The Rewards Certificate will represent $10; provided that if unless multiple Rewards are issued at the time the Rewards Certificate will represent increments of $10 for each of the Rewards., Rewards Certificates feature a unique single use coupon code, and an expiration date of ninety (90) days.

C. Use Of Reward Certificate.

Online: To use a Reward Certificate when making an Authorized Purchase on any of the websites for the FullBeauty Family of Brands, you must select from at least one (1) of the available Reward Certificates to be applied to the order and enter the Rewards Certificate number in the “Promo Code & Rewards” section at checkout

Phone Orders: To use a Reward Certificate when making an Authorized Purchase on a phone order from any of the FullBeauty Family of Brands, you must provide the call center agent with the email address and phone number associated with your Program Account and tell the agent the Reward Certificate number that you would like to use.

“Authorized Purchases”. A Reward Certificate may be redeemed in the equivalent of  U.S. dollars towards an "Authorized Purchase" of merchandise from any of the FullBeauty Family of Brands through their websites or phone order.   To be eligible as an Authorized Purchase the order must be shipped to an address in the United States, your Program Account must be in good standing at the time of use of the Reward Certificate, and the Reward Certificate must not have expired.  Reward Certificates may not be used retroactively in connection with any prior purchases or order, and cannot be applied to any processing charges, delivery surcharges, shipping and handling, taxes, or state fees and any other applicable governmental fees.  Reward Certificates may not be applied to purchase of gift cards or coupons, purchase or renewal of a Catherines Perks or Woman Within Loyalty Program memberships or any other FullBeauty Brands premium loyalty membership program, or for payments on any of the Platinum Credit Cards.  Each Reward Certificate must be used in one purchase. Any remaining unused amount of a redeemed Reward Certificate will be forfeited (and no change will be given). Likewise, the Member using a Reward Certificate is responsible for all charges in excess of the value of the Reward Certificate. Fullbeauty Brands reserves the right to require the person using a Reward Certificate to show proof that they are the person associated with the Reward Certificate.

D. No Cash Value.  Rewards earned and Rewards Certificates have no monetary or cash value outside of the Program and cannot be purchased, sold, bartered or redeemed for cash, unless required by applicable law.  Rewards and Rewards Certificates may not be used for payment on any of the Platinum Credit Cards.

6.  Additional Benefits Under Program.

A. Special Offers.  From time to time, we may make special offers to you to earn additional Points or Rewards either in connection with Qualifying Purchases or in connection with certain specified activities, such as signing up to receive marketing communications from any one or more of the FullBeauty Family of Brands.  We may also offer additional Points or Rewards for Platinum Credit Card accountholders who use their credit card for certain activities relating to the Program.  Details of the additional Points or Rewards opportunities, including a description of what is required of Members to earn the additional Points or Rewards, the number of Points or Rewards available, and any additional terms will be communicated to eligible Members by email or in another communication from FullBeauty Brands.  Details of the additional Points or Rewards opportunities can also be found on the “More Ways To Earn” section of your Program Account online at any of the Program web pages for any of the FullBeauty Family of Brands listed in Section 22 of these Program Terms, or by calling any of the phone numbers for any of the FullBeauty Family of Brands listed in Section 22 of these Program Terms.  These special offers are subject to the terms and conditions of the offer.  Read each offer carefully for applicable limitations or exclusions.  Special Points or Rewards offers may not be combined with any other offer.  The number of Points or Rewards available for any special offer is subject to change at any time.

If the special offer involves performance of a specified activity, Points or Rewards (as applicable) will only be awarded for verified new activities and do not apply retroactively for any activities that occurred in the past. For example, Members would not receive Points if they are already receiving marketing emails or marketing text messages.

The timing on award of the Points or Rewards under a special offer may vary.  As a general rule, Points or Rewards earned for performance of activities pursuant to a special offer will appear in your Program Account approximately thirty (30) days of completing the activity.  Once awarded, the use of the Points or Rewards, as applicable, shall be subject in all respects to these Program Terms regarding redemption unless otherwise specifically communicated by FullBeauty Brands.

Any special offers to earn additional Points or Rewards under the Program shall be at FullBeauty Brands’ sole and absolute discretion.

B. Birthday Offers.  FullBeauty Brands will offer certain birthday benefits to Members under the Program.  Members must supply FullBeauty Brands with the month and day of their birthday in their Program Account in order to receive the birthday benefits. The type and value of birthday benefit are within FullBeauty Brands’ sole discretion. Accounts opened on the month of your Birthday or the month preceding your birthday will begin receiving the birthday benefit the following calendar year. Members will receive an email at the beginning of their birthday month with their offer.

C. Free Shipping.  Each calendar year, Elite Tier Members will receive a coupon code that is redeemable up to 4 times for Free Shipping for orders of $75 or more, excluding taxes and fees. This coupon code will be emailed annually at the beginning of each calendar year and is available in the Reward sections of your Program Account online at any of the web pages for any of the FullBeauty Family of Brands listed in Section 22 of these Program Terms.

7.  Communications. We may communicate with you regarding any matter related to the Program by mail, telephone, or electronic communication. You may update your contact information at any time on your Program Account online at any of the Program web pages for any of the FullBeauty Family of Brands listed in Section 22 of these Program Terms, or by calling any of the phone numbers for any of the FullBeauty Family of Brands listed in Section 22 of these Program Terms. We are not responsible for communications, including Rewards and Points, lost due to change of email address or other contact information or unavailable connections.

8.  Program Activity and Customer Service. You can view your Point and Reward summaries (including the number of unused and unexpired Points in your Points balance) at any time on your Program Account online at any of the Program web pages for any of the FullBeauty Family of Brands listed in Section 22 of these Program Terms, via an email communication we may send to you, or by calling any of the phone numbers for any of the FullBeauty Family of Brands listed in Section 22 of these Program Terms. If you want to know whether a Reward Certificate was properly redeemed, the status of a Reward Certificate redemption, or whether you earned Points from a particular transaction, or to ask any other question regarding the Program, call any of the phone numbers for any of the FullBeauty Family of Brands listed in Section 22 of these Program Terms. 

9.  Limited Liability and Indemnification.  Unless otherwise required by law, neither FullBeauty Brands, nor any of our affiliates (collectively "FullBeauty Brands Businesses") or any of their respective officers, directors, employees, or agents will be liable to you, or anyone making a claim on your behalf, in connection with (a) any termination of, change in, or suspension of the Program; (b) any loss, damage, expense or inconvenience caused by any occurrence outside of our control; or (c) any taxes that you incur as a result of receiving or Points or redeeming Reward Certificates. 

To the maximum extent permitted under applicable law, FullBeauty Brands will not have any liability (whether in contract, warranty, tort (including, but not limited to, negligence), product liability or other theory) for any indirect, incidental, special, punitive, or consequential damages, even if you or FullBeauty Brands were advised of the possibility of such damages, or for any loss of revenue, data or profits arising under or with respect to these Program Terms or the Program. Further, FullBeauty Brands’ aggregate liability arising under or with respect to these Program Terms or the Program will in no event exceed the amount of any points you have earned in accordance with these Program Terms. You agree that all claims made hereunder by you against FullBeauty Brands will be made within 120 days of the act or omission that forms the basis of such claims.  Some U.S. states prohibit or limit a party’s ability to limit their liability so these limitations may not apply to you, but will be enforceable to extent permitted by applicable law. 

Each member understands and agrees that all rights under section 1542 of the civil code of California and any similar law of any state or territory of the United States are hereby expressly waived by him/her. Section 1542 reads as follows:

"Certain claims not affected by a general release. A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor."

To the maximum extent permitted by applicable law, you agree to defend, indemnify and hold the FullBeauty Brands businesses harmless from and against any and all claims, damages, costs and expenses, including attorneys’ fees, arising from or related to your participation in the program.

10.  No Warranties. The Program is made available to you on an "as is," "as available" basis. To the maximum extent permitted by applicable law, FullBeauty Brands makes no warranties, representations, or guarantees of any kind, with regard to the Program, the operation and maintenance of the Program, whether express or implied, arising by law or otherwise, including without limitation any implied warranty of merchantability, fitness for a particular purpose, or non-infringement or any implied warranty arising from course of performance, course of dealing, or usage of trade. Without limiting the generality of the foregoing, FullBeauty Brands makes no representation that the operation of the Program will be uninterrupted or error-free.

11.  Changes to these Program Terms and Termination of the Program.  FullBeauty Brands reserves the right to modify, restrict, suspend, or otherwise change any aspect of the Program and/or these Program Terms from time-to-time, including without limitation, the eligibility conditions for participation in the Program, the manner in which Members participate, the manner and rates at which Points and Reward Certificates are earned and redeemed, redemption mechanisms.  FullBeauty Brands will notify you of changes to these Program Terms by posting them to the Program web pages for the FullBeauty Family of Brands listed in Section 22 of these Program Terms.  FullBeauty Brands may also notify you of changes to these Program Terms by email or mail to the address then associated with your Program Account, and/or by using any other contact information we may have for you. The updated Program Terms will be effective as of the time of posting, or upon such later date as specified by FullBeauty Brands. The updated Program Terms will apply beginning as of their effective date as specified by FullBeauty Brands. Should you not agree to such an amendment to the Program Terms or the Program, you may cancel your participation in the Program as set out in Section 12. Except where exigencies require a shorter timeframe, we reserve the right to terminate the Program completely by providing you with sixty (60) days' advance notice of the impending termination.

12.  Cancelling Program Participation.  You can cancel your participation in the Program at any time by calling any of the phone numbers for any of the FullBeauty Family of Brands listed in Section 22 of these Program Terms.  If you cancel your participation in the Program, you will no longer earn Points and Reward Certificates and you will forfeit your unused and unexpired Points and Reward Certificates.

13.  Privacy. Information collected about you in connection with your Program Account and the Program is subject to the FullBeauty Brands privacy policy, which may be updated from time-to-time. 14.  Loss of Points and Rewards; Termination of Your Program Account. In addition to termination of the Program pursuant to Section 11, above, we may also revoke your ability to participate in the Program for: (i) your abuse of the Program, including, without limitation, your use of any "bot," macro, or other automated means to participate in the Program or to earn Points or Rewards; (ii) your failure to follow these Program Terms and any other terms and conditions applicable to the Program; (iii) the attempted or actual sale or transfer of any of your Points, Rewards, Reward Certificates, or your Program Account; (iv) any misrepresentation by you; or (v) any other conduct deemed by us, in our sole discretion, to be an abuse of the Program, to be detrimental to our interests or our customers, or to be otherwise improper. If your ability to participate in the Program is revoked, any unused Points, Rewards, or Reward Certificates will automatically expire and your future participation in the Program may be prohibited.  In addition, we will have the right to take appropriate administrative or legal action, including criminal prosecution, as we deem necessary in our sole discretion.

We are not responsible for Points or Reward Certificates that expire, are lost or are redeemed due to fraudulent activity. Suspected illegal, fraudulent or other unauthorized use or misuse of Points or any other activity inconsistent with these Program Terms will result in termination of your participation in the Program, which may result in the loss of all accumulated Points and Rewards earned and Reward Certificates issued but not yet redeemed.

You agree to abide by our final and binding decisions regarding the Program and your participation in it. We are the sole arbiter of all issues relating to the Program, including a decision to remove Points or Rewards, and all of our decisions relating to the Program are final.

15.  Not Transferable. Points, Rewards and Reward Certificates are not your property and are not transferable to anyone or any entity by operation of law or otherwise. Neither Points nor Rewards nor Reward Certificates may be transferred upon death or as part of any domestic relations legal proceedings, and may not be brokered, bartered, sold, purchased, or transferred in any way. Any attempted transaction of such sort will automatically be void. Anyone selling, purchasing, brokering, bartering, transferring, or altering Points, Rewards or Reward Certificates, either wholly or partially, will be liable for payment of the applicable full retail price of any Rewards obtained with them, as well as all damages, including, but not limited to consequential damages, transaction costs, third party damages, and litigation costs (including attorney's fees and costs at trial and on appeal and in any bankruptcy proceeding).  Any brokered, bartered, altered, sold, or purchased Points, Rewards or Reward Certificates will likewise be void.  Any violation of these provisions will result in termination of your eligibility to participate in the Program and forfeiture of unused Points, Rewards, and/or Reward Certificates.

16.  Taxes. You are solely liable for any applicable federal, state or local income, sales, use, or other taxes arising out of the accrual or use of Points, Rewards or Reward Certificates. Consult your tax advisor concerning any tax consequences that may arise from your participation in the Program.

17.  Severability. If a court of competent jurisdiction or any government agency determines that any provision of these Program Terms is invalid, void or unenforceable, that provision will continue to be enforceable to the extent permitted by law, and the remainder of that provision will no longer be considered as part of these Program Terms. However, all other provisions will remain in full force and effect.

18.  Governing Law. The Program and these Program Terms are governed by federal law and, to the extent state law applies, the laws of the State of New York, without any reference to its choice of law provisions.

19.  Arbitration/Cass-Action Waiver/Dispute Resolution. To the fullest extent permitted by law, both you and we waive the right to a trial by jury and the right to bring or resolve any dispute as a class, consolidated, representative, collective, or private attorney general action. To the fullest extent permitted by law, both you and FullBeauty brands waive the right to participate in a class, consolidated, representative, collective, or private attorney general action related any dispute that is brought by anyone else. Notwithstanding any provision in the JAMS (defined below) rules to the contrary, the arbitrator shall not have the authority or any jurisdiction to hear the arbitration as a class, consolidated, representative, collective, or private attorney general action or to consolidate, join, or otherwise combine the claims of different persons into one proceeding.

The parties each agree to finally settle all disputes only through arbitration; provided, however, the FullBeauty brands businesses shall be entitled to seek injunctive or equitable relief in the state and federal courts located in New Nork, New York. In arbitration, there is no judge or jury and review is limited. The arbitrator's decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this program will be resolved solely by binding arbitration before a sole arbitrator under the streamlined arbitration rules procedures of JAMS Inc. ("JAMS") or any successor to JAMS. In the event Jams is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a "demand for arbitration," then either party can elect to have the arbitration administered by another mutually agreeable arbitration administration service who will hear the case. If an in-person hearing is required, then it will take place in New York, New York, but only if JAMS rules so require. The federal or state law that applies to these Program Terms will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions or class arbitrations; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate does not apply and the dispute must be brought in a court of competent jurisdiction in New York, New York. Either party may, notwithstanding this provision, bring qualifying claims in small claims court. In no event will you seek or be entitled to rescission, injunctive or other equitable relief or to enjoin or restrain the operation or exploitation of the Program.

For holders of a platinum credit card (consisting of the Woman Within Platinum Credit Card, Catherines Platinum Credit Card, Roaman’s Platinum Credit Card, Brylane Home Platinum Credit Card, Jessica London Platinum Credit Card, or FullBeauty Platinum Credit Card) who participate in this Program, the requirement to arbitrate claims and the class action waiver contained in this provision are not applicable to your relationship or customer agreement with Comenity Bank. The Bank is not a party to this arbitration/class action waiver provision, the program, or these program terms, and your customer agreement with the Bank is not affected by these Program Terms.

20.  Points Disputes.  If you believe that a purchase made or other activities should have resulted in the addition of Points to your accumulated Points balance, and such Points are not reflected in the accumulated Points balance within sixty (60) days of the date on which the purchase was made ("Points Dispute"), notify us immediately by calling our Customer Service team at the appropriate phone number as listed in Section 22. We will use reasonable efforts to investigate your Points Dispute so long as you notify us of such dispute within ninety (90) days of the posting date of such purchase. In order for us to undertake an investigation of your Points Dispute, we may require you to provide written confirmation of the dispute. If we do not receive the requested written confirmation at the address and within the time requested by us, we may in our sole discretion determine not to investigate your Points Dispute. Our transactional records will be considered conclusive if there is a Points Dispute.

21.  General Information.  Participation in the Program is unauthorized in any jurisdiction where all or any portion of this Program may violate any legal requirements and you agree not to participate in the Program in any such jurisdiction. You are responsible for compliance with applicable laws. Our performance under these Program Terms will be excused to the extent that such performance is hindered, delayed or made commercially impractical by causes beyond our reasonable control.

FullBeauty Brands’ performance of these Program Terms is subject to applicable laws and legal process, and nothing contained in these Program Terms is in derogation of FullBeauty Brands’ right to comply with law enforcement requests or requirements relating to your participation in the Program or information provided to or gathered by FullBeauty Brands with respect to such participation.

These Program Terms, together with the applicable terms related to any promotional offers provided to you for use with the Program, constitute the entire agreement between you and FullBeauty Brands with respect to the Program. These Program Terms supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and us with respect to the Program. If there is a discrepancy between a printed version of these Program Terms (such as Program Terms sent in the mail) and the electronic/online version posted at any of the FullBeauty Family of Brands Program webpages listed on Section 22 of these Program Terms, the electronic/online version will control. These Program Terms may only be modified or amended by FullBeauty Brands. We may waive any obligation you have under these Program Terms without losing our right at a later time to enforce that same obligation. Furthermore, any alleged waiver of any breach of these Program Terms will not be deemed to be a waiver of any future breach. We can delay enforcing our rights under these Program Terms or delay taking any action (for any reason) without losing our rights. If we take any other action, we will not lose any rights under these Program Terms. In addition, our failure to exercise our rights on any one occasion, or even on more than one occasion, does not constitute a waiver of our rights for any future occasion. All waivers must be in writing. A printed version of these Program Terms and/or of any notice given by FullBeauty Brands in electronic form will be admissible in judicial or administrative proceedings based upon or relating to these Program Terms or your participation in the Program to the same extent and subject to the same conditions as other business documents and records originally generated and maintained by FullBeauty Brands in printed form.
